Updating our Terms to better serve business customers
Today we’re introducing a refreshed Keycafe Terms of Service that better reflects how our platform is used today—primarily by organizations operating at scale. The new terms apply to new customers immediately and to existing customers 30 days after we send our announcement via email (coming soon).
Highlights
- One primary agreement with structured schedules. We consolidated the framework into a single master agreement supported by clearly labeled schedules (e.g., Service Level Agreement, Store Terms / Hardware, Public Network, API). The goal was reduced fragmentation and easier internal routing and review for procurement teams.
- Clearer B2B orientation. The new terms position Keycafe as a standardized, multi-tenant SaaS platform for organizations at scale. We clarified admin / account duties and introduced more thoughtful provisions on governing law/venue, indemnity (e.g., our IP, your use/data), liability caps, warranties, confidentiality and other topics.
- Order of precedence and procedures for change. A defined hierarchy governs the master terms, schedules, and order forms; conflicting purchase-order, portal or other non-Keycafe terms do not apply unless agreed in a written addendum to the Keycafe Terms of Service signed by both parties. This preserves a single authoritative contract record and reflects delivery of a standardized platform. As of the effective date, only the new terms and any mutually signed addendum to the Keycafe Terms of Service govern.
- Service availability commitments. A concise SLA sets a 99.9% monthly service availability target with straightforward service-credit mechanics. The scope and exclusions are defined to reflect how a cloud service is actually delivered and supported.
- DPA incorporated by reference. Our Data Processing Addendum is part of the agreement without requiring a separate signature where applicable. This streamlines privacy compliance while keeping the operative obligations and transfer mechanisms clearly stated.
- Unified Public Network terms. Customers, Location Providers, and authorized key holders participating in the public network are addressed in a single document so roles, responsibilities, and relationships are clarified in one place.
What’s next
The essentials of how we work together remain mostly unchanged. Customers continue to control their configurations, permissions, and credentials; Keycafe operates the platform, makes a best effort to safeguard service integrity, and provides support consistent with the SLA and associated schedules. The updated structure is designed to make contracting for organizations clearer and faster—not to change your day-to-day use of the product. For most organizations, no action is required beyond reviewing the updated terms and ensuring they wish to continue using the service prior to the effective date.
